Vendor Agreement
This Vendor Agreement (“Agreement”) is entered into by and between Reytech LLC, a North Carolina limited liability company (“EverythingDid,” “Platform,” “we,” “us”), and the individual or business registering as a vendor (“Vendor,” “you”).
By creating a Vendor account or offering services through EverythingDid, you agree to this Agreement.
1. Independent Contractor Status
Vendor is an independent contractor, not an employee, agent, partner, or representative of EverythingDid.
Vendor has no authority to bind EverythingDid and may not represent otherwise.
Nothing in this Agreement creates an employment, franchise, joint venture, or partnership relationship.
2. Vendor Responsibilities
Vendor is solely responsible for:
Performing all Services offered
Service quality, safety, sanitation, and professionalism
Compliance with all applicable laws and regulations
Holding required licenses, certifications, and permits
Maintaining proper insurance coverage
Communicating policies (pricing, cancellations, deposits)
Customer satisfaction and outcomes
EverythingDid does not supervise, direct, or control how Services are performed.
3. Licensing, Certification, and Insurance
Vendor represents and warrants that they:
Hold all required professional licenses (cosmetology, barber, nail tech, etc.)
Maintain general and professional liability insurance
Will provide documentation upon request
Will immediately notify EverythingDid if any license or insurance lapses
Failure to maintain proper credentials is grounds for immediate removal.
4. Platform Use & Payments
Payments are facilitated through EverythingDid using Stripe marketplace tools
EverythingDid may collect payments from Customers and issue payouts to Vendor
Platform fees may be deducted before payout
Vendor is responsible for all applicable taxes
Off-platform payments for leads generated through EverythingDid are prohibited
EverythingDid does not guarantee earnings, bookings, or payouts.
5. In-Home / Mobile Services
If Vendor offers mobile or in-home services, Vendor acknowledges:
Increased personal safety risks exist
Vendor is solely responsible for assessing safety of each location
Vendor must immediately leave any unsafe situation
Vendor must follow all applicable laws and boundaries
EverythingDid is not responsible for location conditions or in-person interactions.
6. Code of Conduct (Zero Tolerance)
Vendor agrees to zero tolerance for:
Harassment or discrimination
Sexual misconduct or assault
Violence or threats
Substance abuse during services
Exploitation or illegal activity
EverythingDid may immediately suspend or terminate Vendor accounts for any credible report or policy violation.
7. Reviews, Ratings, and Complaints
Customers may leave reviews after completed bookings
EverythingDid may remove fraudulent or abusive reviews
Repeated low ratings or safety complaints may result in suspension or removal
Vendors may not retaliate against Customers for reviews
8. Indemnification Vendor agrees to defend, indemnify, and hold harmless EverythingDid, Reytech LLC, and its owners, officers, employees, and agents from any claims, damages, losses, liabilities, or expenses (including attorney’s fees) arising from:
Vendor’s Services
In-person incidents (injury, assault, misconduct, theft)
Violations of law
Breach of this Agreement
Customer disputes
9. Limitation of Platform Liability
EverythingDid is not liable for:
Vendor income loss
Customer disputes
Chargebacks
Injuries or incidents
Account suspension or termination
Vendor uses the Platform at their own risk.
10. Suspension & Termination
EverythingDid may suspend or terminate Vendor access at any time for:
Safety concerns
Policy violations
Fraud or misrepresentation
Legal compliance
Business reasons
Termination does not waive indemnification or liability obligations.
11. Confidentiality
Vendor agrees not to misuse or disclose non-public Platform information, including customer data.
12. Governing Law & Arbitration
This Agreement is governed by North Carolina law.
Disputes shall be resolved through binding arbitration (AAA), individual basis only, no class actions.
13. Acceptance
By registering as a Vendor, you confirm you have read, understood, and agreed to this Agreement.
14. Refunds, Cancellations, and Disputes
Vendor Policy Responsibility
Vendor is solely responsible for setting, communicating, and enforcing their own:
Cancellation and rescheduling policies
Deposit requirements
No-show and late-arrival fees
Vendor policies must be accurate, clearly disclosed on the Platform, and applied consistently.
Refund Decisions
Vendor acknowledges and agrees that:
Refund eligibility is determined primarily by Vendor policy
Vendor is responsible for service outcomes and customer satisfaction
EverythingDid does not guarantee refunds on Vendor’s behalf
Vendor authorizes EverythingDid to facilitate refunds, partial refunds, or adjustments only when consistent with Vendor policy or required by law.
No-Shows and Late Arrivals
Vendor may enforce no-show and late-arrival policies disclosed on the Platform. Vendor agrees not to request Platform intervention to override their own stated policies.
Vendor Cancellations
If Vendor cancels a confirmed Booking without valid cause:
Vendor may be required to issue a full refund
Vendor may be subject to penalties, reduced visibility, or account suspension
Disputes and Cooperation
In the event of a customer dispute, Vendor agrees to:
Respond promptly and professionally
Provide requested documentation when reasonably available
Cooperate with Platform review
Vendor acknowledges that EverythingDid may take action, including refunds or account restrictions, to maintain marketplace integrity, without admitting liability.
Chargebacks
Vendor agrees to cooperate with chargeback investigations and acknowledges that:
Chargebacks negatively impact the Platform
Repeated or excessive chargebacks may result in penalties or termination
Vendor may be responsible for chargeback-related fees
Indemnification Related to Refunds
Vendor agrees to indemnify and hold harmless EverythingDid from claims, losses, or disputes arising from:
Vendor’s services
Vendor refund decisions
Customer dissatisfaction
Failure to follow Vendor’s own stated policies
